1. For the purpose of these terms and conditions “the NEC", "We", "Us" and "Our” means The National Exhibition Centre Limited of The National Exhibition Centre, Birmingham, West Midlands B40 1NT. "You", or "Your" refers to You, the customer and user of the application (the “bp pulse LIVE Venue App or the "App").

2. By using the App, You are deemed to have accepted these terms and conditions. "Mobile device" means portable devices with restricted screen size which are able to access the App via an over-the-air cellular network data connection, but also permitting access via Wi-Fi.

3. The "Territory" for use of the App means the United Kingdom of Great Britain.

4. You will need to have access to a suitable mobile device and access or a subscription to a service, including data services, in order to access and use the App. These terms do not cover the provision of basic equipment or services necessary to obtain access to the internet or to connect to the App. Only mobile devices that are supported by the App may be used to access the App and you agree that the NEC has no obligation to support any particular make or model of mobile device, whether or not such make, or model is currently, or was previously supported by the NEC. It is your responsibility to download and install the App and to ensure that tickets are displayed correctly on your electronic device.

5. You agree to provide true, current and complete information about yourself as prompted by Us and to promptly update the information that you provide to Us from time to time in order to keep it true, current and complete. If we have reasonable grounds to suspect that any information that you have provided to Us is in fact untrue, inaccurate or incomplete, we may suspend or terminate your access to the App. If any of the information that you give to Us when you register changes you must inform Us immediately.

6. To access and use the App, you are required to register an account (“Account”) and to sign-in to such Account. By registering an Account:

a. You warrant that You are of legal age and have unrestricted legal capacity in your country of domicile or residence, or that you duly obtained the consent of your legal representative(s);

b. You warrant that all information provided to us in the registration process or otherwise is true and accurate;

c. You agree to keep all such information up to date;

d. You agree to keep your login credentials confidential; and

e. You agree to notify us immediately of any unauthorised access or use of your Account or any other breach of security.

7. The App allows You to acquire and use tickets from different organisers of events who offer the possibility to deliver tickets to the App. The acquisition, use and resale of tickets is permitted only for Account holders. The acquisition or transfer of a ticket takes place once payment has been executed and you have provided us with your or another user’s (e.g. from a friend or relative) Account information for receipt of the ticket (“Ticket Transaction”).

8. A few hours or minutes before the applicable event, Your ticket will be activated and will be displaying information in order for you to attend the event and enter the event venue. You will be authorised to enter the applicable event venue provided You: (i) have duly retrieved and displayed the ticket through the App; (ii) complied with these Terms & Conditions and the terms and conditions of any event organiser; and (iii) Your compliance with the NEC’s venue regulations.

9. We allow You to transfer to your friends and/or relatives any tickets acquired or purchased through us, subject to these Terms & Conditions. You are authorised to transfer your ticket provided that: (i) You attend the event together with your friend(s) and/or relative(s); (ii) the tickets are for your private and non-commercial use only; (iii) your friend(s) and/or relative(s) has/have downloaded and installed the App; (iv) your friend(s) and/or relative(s) is/are holder(s) of an Account on the App; (v) you have executed such transfer free of any extra charge or consideration over and above the face value of the ticket; and (vi) your friend(s) and/or relative(s) has/have also accepted these Terms & Conditions.

10. Subject and without prejudice to any of these terms, You represent and warrant (i) to use Your Account and the App for the purposes of completion of a Ticket Transaction in a private and non-commercial fashion only; (ii) not to breach, or cause a third party to breach any applicable law or regulation; (iii) not to use Your Account or the App for any unlawful purpose; (iv) not to infringe any intellectual property right, or other proprietary right or right of publicity or privacy; (v) not to include incomplete, false or inaccurate information about yourself or any information about any other individual, company or legal entity.

11. You are hereby warned that the App uses the data connection of your mobile phone. If you do not have a proper mobile data plan, you can be charged for all data use by your mobile phone carrier. While many mobile phones automatically disable data usage when roaming (using your mobile phone outside your country or covered area of your carrier), if the data connection is active and you use the App while roaming, it can and will result in even higher charges, often regardless of regular unlimited mobile data plans. We are in no way responsible or liable, for any or all charges you receive from your mobile phone carrier, by using the App. You are hereby warned that the App is intended for use with your own mobile phone carrier in which you subscribed to the service. The App makes no warranty regarding correct operation whilst Your device is connected to other carriers.

12. If we have reason to believe that there has been or is likely to be a breach of security or any other misuse of your Account or the App, we may end your rights to use your Account and/or the App. We are not obliged to monitor, detect, or report any unauthorised use of the App and You shall be solely responsible and liable for all user charges that are incurred on your Account as a result of any such unauthorised use.

13. Your information will be treated in accordance with our Privacy Policy, which can be viewed here. Please be aware that internet transmissions are never completely private or secure and that any message or information you send using the App may be read or intercepted by others, even if there is a special notice that a particular transmission is encrypted.

14. Subject to you providing consent in the App, you agree that the NEC may send push notifications via the App with information and offers that may be relevant to You.

15. We reserve the right to make any changes at any time to the App or to discontinue any aspect or feature of the App without notice to users. If we change these terms to your significant disadvantage, We will notify You.

16. We reserve the right to change these Terms & Conditions at any time. Your continued use of the App service will be deemed to have accepted the varied terms and conditions which will notified to You directly and/or within the App.

17. Any use of the App by You is on an "as is" and an "as available" basis. You agree and accept that the App is not a fault-free service and is for Your own personal use and shall not be used for commercial purposes.

18. From time to time, We may automatically update the App to improve performance, enhance functionality, reflect changes to the operating system or address security issues. Alternatively, We may ask You to update the App for these reasons. If You choose not to install such updates or if You opt out of automatic updates, You may not be able to continue using Your Account or the App.

19. Any use of the Account or App is entirely at Your own risk and (to the extent permitted by law) in no event shall we be liable for any indirect, incidental, or consequential damages including without limitation loss of income, data or other information as a result of the use of the Account or the App. We are not liable for business losses. If You use the App for any commercial, business or resale purpose We will have no liability to You for any loss of profit, loss of business, business interruption, or loss of business opportunity. Nothing in these Terms & Conditions shall operate to exclude or limit our liability for: death or personal injury caused as a result of our negligence; arising out of fraudulent misrepresentation or fraudulent concealment; or for any other liability which cannot be excluded or limited by law.

20. App offers are subject to availability and may only be available while stocks last. We will not be responsible if Your application for an App offer is incomplete, lost or not received.

21. Links to third party websites and companies may appear on Your Account and/or the App. Such third party websites are not the responsibility of NEC and We accept no responsibility for the availability, suitability, reliability, or content of such third party websites. We are not responsible for and have not checked and approved their content or their privacy policies (if any). You will need to make your own independent judgement about whether to use any such independent sites, including whether to buy any products or services offered by them. We reserve the right, at Our sole discretion to suspend and/or terminate your use of Your Account and/or the App if we believe You have breached any of the rules of these third party websites.

22. Certain components of the App are supplied to Us by third parties, and We cannot be held responsible for and do not accept any liability, either express or implied as to such components, including but not limited to their accuracy, relevance, or quality.

23. The App, its features and material and content within the App may also be protected by intellectual property rights and other rights belonging to NEC, its licensors or to third parties. No licence is granted to You in respect of any such rights, except to the extent required for Your personal use of the App in accordance with these terms and conditions. You may not otherwise reproduce, modify, copy, or distribute or use for commercial purposes any of the features, materials or content of the App. Without limiting the foregoing, the NEC and any other NEC product or service name are trademarks of the NEC and You shall not be entitled to reproduce such marks without our prior written consent.

24. We may transfer our rights and obligations under these Terms & Conditions to another organisation. We will always tell You in writing if this happens and we will ensure that the transfer will not affect your rights under the Terms & Conditions. You may only transfer Your rights Your obligations under these Terms & Conditions to another person if We agree in writing.

25. No failure or delay by us in exercising any of our rights, powers or remedies provided by these Terms & Conditions or by law shall be deemed to be a waiver of that right, power or remedy and no waiver by us of any breach by you of these Terms & Conditions shall be construed as a waiver of any subsequent breach of the same or any other provision.

26. If means any cause or circumstance beyond our control (“Force Majeure Event”) causes us to fail to perform, or to delay in performing, any one or more of our obligations under these Terms & Conditions and if that failure or delay could not have been overcome by us acting reasonably and prudently then we shall not be liable or responsible for that failure or delay.

27. If any clause, or part of a clause, of these Terms & Conditions is found by any court or administrative body of competent jurisdiction to be illegal, invalid, or unenforceable, the legality, validity, or enforceability of both the remainder of the clause or paragraph which contains the relevant provision and the rest of these Terms & Conditions shall not be affected, unless otherwise stipulated under applicable law.

28. These terms and conditions are governed by English Law and You and We submit to the non-exclusive jurisdiction of the English Courts.
